General Terms of Sale & Service

Governing all software engineering, web & SaaS platforms, editorial design, and B2B subcontracting partnerships concluded by LEKYN.

Article 1: Scope & Contracting Parties

These General Terms of Sale and Service (hereinafter 'ToS') govern all contractual relationships established between:

Any natural person or corporate entity
Ordering software engineering, design, publishing services, or entering into a B2B technology subcontracting partnership.
Hereinafter referred to as 'the Client' or 'the Partner'

Any order or acceptance of a commercial proposal entails full, unreserved acceptance by the Client of these Terms, prevailing over any conflicting document from the Client.

Article 2: Proposals, Purchase Orders & Contract Formation

Every engagement is preceded by an estimate or purchase order detailing deliverables, functional scope, project timeline, and pricing excluding taxes.

Offer Validity Period: Our commercial proposals and price quotes remain valid for thirty (30) calendar days from their date of issuance.
Definitive Contract Formation: Le contrat est valablement formé dès réception par LEKYN de la proposition commerciale signée (physiquement ou par signature électronique qualifiée) accompagnée du règlement effectif de l'acompte initial de 40%.

Article 3: Currencies & Standard 4-Milestone Schedule

Pricing is quoted in the agreed currency (EUR €, USD $, XOF FCFA, AED د.إ) based on the Client's jurisdiction. Unless agreed otherwise, payment follows this 4-milestone schedule:

Milestone 1 • 40%
Initial Deposit
Due upon quote approval to initiate scoping, system architecture, and operational kickoff.
Milestone 2 • 20%
UX/UI Validation
Due upon approval of interactive prototypes, UI mockups, and software architecture.
Milestone 3 • 20%
Staging & Integration Review
Due upon delivery to staging environment for client integration and user acceptance testing.
Milestone 4 • 20%
Production Deployment
Remaining balance due upon final delivery, asset handover, and official production launch.
Accepted Payment Methods: Direct bank transfer (SWIFT / SEPA / WAEMU), credit card via secure Stripe gateway, Mobile Money via FedaPay, or local bank transfer in GCC countries (AED).

Article 4: B2B Technology Subcontracting & Partner Firms

LEKYN regularly serves as an engineering provider and technology subcontracting partner for management consulting firms, agencies, and strategic advisors lacking internal dev teams:

Attribution & Partner Visibility: For projects originating from a partner firm (such as our collaborations with Groupe Power Firm for BestLens and GICE Digit), the subcontracting role is explicitly highlighted to honor the partner's positioning and maintain client confidence.
Loyalty Commitment & Non-Circumvention: LEKYN strictly refrains from directly soliciting or contracting with end clients introduced by a partner firm during the partnership and for 24 months post-completion.

Article 5: Legal, Fiscal Audit Trail & SYSCOHADA Standards

In strict compliance with the OHADA Accounting System (Revised SYSCOHADA) and Beninese and international tax authorities:

Cryptographic Sealing of Financial Records

Each price estimate, purchase order, and invoice issued by LEKYN generates a tamper-proof, timestamped SHA-256 cryptographic hash, guaranteeing absolute integrity, authenticity, and immutability.

Article 6: Intellectual Property & Retention of Title

Full Retention of Title: LEKYN retains full intellectual property and copyrights on all designs, codebases, mockups, and assets until the total price is received in cleared funds (including Milestone 4).
Transfer of Exploitation Rights: Full settlement conveys patrimonial exploitation rights over customized final deliverables created specifically for the Client, for the purposes set forth in the proposal.
Showroom Reference Rights: Unless an express non-disclosure agreement is agreed upon, LEKYN is entitled to present deliverables as a portfolio reference, clearly mentioning B2B partnerships where applicable.

Article 7: Acceptance, Corrective Warranty & Support

User Acceptance Testing Period
Starting upon staging deployment to report any non-conformities relative to validated specifications.
30 calendar days
Complimentary Bug-Fix Warranty
Remediation at no charge of any blocking bug directly attributable to the delivered codebase.

Any request for functional additions, modifications, or long-term maintenance requires a dedicated change order or annual SLA.

Article 8: Governing Law, Jurisdiction & International Arbitration

These General Terms are governed by the laws of the Republic of Benin and OHADA commercial law principles. In the event of a dispute:

Attempt at Amicable Settlement: Parties commit to seeking an amicable settlement within thirty (30) calendar days as a preliminary step.
Competent Court & Arbitration: Failing amicable resolution, exclusive jurisdiction is assigned to the Commercial Court of Cotonou or, for cross-border and GCC contracts, via arbitration under CCJA or the Dubai International Arbitration Centre (DIAC).
